On October 31, 2012, the Court of Queen’s Bench of Alberta (the “Court”) issued an order appointing Hardie and Kelly Inc. as Receiver and Manager (the “Receiver”) of Poynt Corporation (the “Company” or “Poynt”).

BANKRUPTCY

On October 31, 2012, the Court also issued an order terminating the Stay of Proceedings (the “Stay”) and deeming Poynt to have made an assignment in bankruptcy. Hardie and Kelly Inc. was appointed as Trustee of the bankrupt estate.

The First Meeting of Creditors (the “Meeting”) is scheduled for 10:30 a.m. on November 28, 2012 at the offices of Norton Rose Canada LLP located at 400-3rd Avenue SW, Suite 3700, Calgary, Alberta.

Creditors must lodge a completed Proof of Claim with the Trustee in advance of the Meeting to be entitled to vote at the Meeting. Update as of October 25, 2012

As a result of Poynt not having received previously anticipated funding, the Trustee has filed a report indicating a material adverse change in the cash flow and financial circumstances of the Company with the Office of the Superintendent of Bankruptcy.

Notice of Intention to Make a Proposal – July 5, 2012

On July 5, 2012, Poynt filed a Notice of Intention to Make a Proposal (the “NOI”) pursuant to the Bankruptcy and Insolvency Act (“the Act”). Hardie & Kelly Inc. consented to act as Trustee under the Proposal. The relevant initial materials are as follows:

Pursuant to S. 69 of the Act, a stay of proceedings is in effect preventing creditors from taking any action against Poynt without leave of the Court.  On October 15, 2012, the Court extened the Stay through to November 26, 2012.
